Seller License Agreement

This Seller License Agreement ("Agreement") is entered into between PatternStores ("Platform", "Company", "we", "our", "us") and the Seller ("Seller", "Licensor", "you", "your").

By uploading any design, artwork, textile print, seamless pattern, saree design, kurti/suit design, dupatta design, or any other digital content to PatternStores, the Seller agrees to the terms of this Agreement.

Purpose

This Agreement governs the licensing rights granted by the Seller to PatternStores and the licensing rights granted to Buyers through the Platform.

The Seller remains the copyright owner of the uploaded content unless otherwise agreed in writing.

Seller Eligibility

By registering as a Seller, you represent and warrant that:

  • You have full legal authority to enter into this Agreement.
  • All information provided to PatternStores is accurate and complete.
  • You will keep your account information updated.

Ownership and Originality of Content

The Seller expressly represents and warrants that:

Original Work

All uploaded designs are:

  • Original works created by the Seller; or
  • Content for which the Seller possesses all necessary rights, licenses, permissions, and authorizations.

No Infringement

The Seller confirms that uploaded content does not infringe any third party's:

  • Copyrights.
  • Trademarks.
  • Design rights.
  • Patents.
  • Trade secrets.
  • Intellectual property rights.
  • Privacy rights.
  • Publicity rights.

Prohibited Content

The Seller shall not upload:

  • Copied designs.
  • Pirated artwork.
  • Stolen content.
  • AI-generated content that violates third-party rights.
  • Offensive, unlawful, or defamatory material.
  • Content violating applicable laws.

Seller Responsibility for Uploaded Content

The Seller acknowledges and agrees that PatternStores acts solely as a technology platform and marketplace.

PatternStores does not create, edit, verify, guarantee, investigate, or certify the ownership, originality, legality, or copyright status of Seller-uploaded content.

Although PatternStores may perform quality reviews or moderation, such reviews do not constitute verification of ownership or intellectual property rights.

Seller's Sole Responsibility

The Seller remains solely and exclusively responsible for all uploaded content.

If:

  • A copied design is uploaded;
  • A copyrighted work is uploaded without authorization;
  • A third party files a complaint; or
  • A Buyer purchases an infringing design;

The Seller shall bear full legal responsibility.

Copyright Claims and Legal Liability

Any copyright infringement claim, intellectual property dispute, legal notice, lawsuit, arbitration, settlement demand, or regulatory action arising from Seller-uploaded content shall be the sole responsibility of the Seller.

The Seller shall defend, indemnify, and hold harmless PatternStores, its owners, directors, employees, affiliates, agents, and partners against all claims, damages, losses, liabilities, penalties, judgments, settlements, legal fees, and expenses arising from:

  • Uploaded content.
  • Copyright disputes.
  • Trademark disputes.
  • Intellectual property violations.
  • False ownership claims.
  • Seller misconduct.

License Granted to PatternStores

The Seller grants PatternStores a worldwide, non-exclusive, royalty-free license to:

  • Display uploaded content.
  • Create previews.
  • Generate watermarked images.
  • Promote content on the Platform.
  • Use previews in marketing materials.
  • Display content on social media.
  • Display content in advertisements.

This license is granted solely for operating and promoting the Platform. Copyright ownership remains with the Seller unless otherwise agreed.

Pricing

The Seller may set prices where permitted by the Platform.

PatternStores reserves the right to:

  • Establish minimum pricing requirements.
  • Recommend pricing.
  • Adjust promotional discounts.
  • Run platform-wide sales campaigns.

Commission and Revenue Sharing

For every completed sale, the Seller shall receive the applicable revenue share percentage published by PatternStores.

PatternStores retains its commission, payment processing fees, taxes, and other applicable charges.

Revenue share percentages may be modified upon notice.

Payouts

Seller payouts shall be processed according to the Platform's payout schedule.

PatternStores may temporarily withhold payouts in cases involving:

  • Fraud investigations.
  • Copyright complaints.
  • Chargebacks.
  • Payment disputes.
  • Regulatory requirements.

Design Removal

PatternStores reserves the right to:

  • Remove any design.
  • Disable access to content.
  • Suspend listings.
  • Reject submissions.

These actions may be taken with or without notice. Removal does not create any obligation to compensate the Seller.

Seller Account Suspension

PatternStores may suspend or terminate Seller accounts for:

  • Copyright violations.
  • Fraudulent activity.
  • Misrepresentation.
  • Abuse of the Platform.
  • Violation of Platform policies.

Termination may occur immediately and without prior notice.

No Guarantee of Sales

PatternStores does not guarantee:

  • Sales volume.
  • Revenue.
  • Buyer traffic.
  • Search ranking.
  • Visibility.
  • Commercial success.

The Seller acknowledges that sales depend on market demand and other factors beyond the Platform's control.

Taxes

The Seller is solely responsible for:

  • GST obligations.
  • Income tax obligations.
  • Local taxes.
  • Reporting requirements.

PatternStores does not provide tax advice.

Confidentiality

The Seller shall not disclose confidential information relating to the following without prior written consent:

  • Platform operations.
  • Internal systems.
  • Business processes.
  • Commission structures.
  • Buyer information.

Limitation of Liability

To the maximum extent permitted by law, PatternStores shall not be liable for:

  • Lost profits.
  • Business interruption.
  • Copyright disputes.
  • Buyer claims.
  • Data loss.
  • Indirect damages.
  • Consequential damages.

The total liability of PatternStores shall not exceed the total commissions retained by PatternStores from the Seller during the preceding twelve (12) months.

Indemnification

The Seller agrees to fully indemnify, defend, and hold harmless PatternStores from any claims arising out of:

  • Uploaded content.
  • Copyright infringement.
  • Trademark infringement.
  • Intellectual property violations.
  • Breach of this Agreement.
  • Violation of applicable laws.

Governing Law

This Agreement shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

Acceptance

By checking the acceptance box, creating a Seller account, uploading content, or using Seller services, you acknowledge that:

  • You have read this Agreement.
  • You understand this Agreement.
  • You agree to be legally bound by this Agreement.
